1. Introduction
These Terms and Conditions (“Terms”) govern your use of the FluidFlow website (fluidflowinfo.com), software products, training services, and related materials provided by Flite Software Ltd (“FluidFlow”, “we”, “us”, “our”).
By accessing our website, downloading software, or purchasing a licence, you agree to these Terms. If you do not agree, please do not use our services.
2. Definitions
- “Software” means the FluidFlow pipe system design and analysis application, including all modules (Liquid, Gas, Two-Phase, Slurry, Scripting) and associated databases.
- “Licence” means the right to use the Software under the terms of your licence agreement (Annual, Quarterly, Perpetual, or Named User).
- “SUM” means Support and Updates Membership — the ongoing subscription covering software updates, new features, and technical support.
- “Training” means courses and materials provided through our training platform (training.fluidflowinfo.com).
- “User” means any individual or organisation accessing our website, software, or services.
- “Content” means all text, images, data, documentation, and other materials on our website and knowledge base.
3. Software Licensing
3.1 Licence Grant
Subject to payment of applicable fees and compliance with these Terms, we grant you a non-exclusive, non-transferable licence to use the Software in accordance with your licence type:
- Annual Lease: Right to use the Software for 12 months, including SUM.
- Quarterly Lease: Right to use the Software for 3 months, including SUM.
- Perpetual: Indefinite right to use the purchased version. SUM is separate and renewable annually.
- Named User: Licence tied to a specific individual. Not transferable without our written consent.
- Network: Licence installed on a server and available to authorised users on your network, up to the purchased seat count.
3.2 Restrictions
You may not:
- Copy, modify, reverse-engineer, decompile, or disassemble the Software
- Sublicense, rent, lease, or lend the Software to third parties
- Remove or alter any proprietary notices, labels, or marks
- Use the Software to provide bureau or consulting services to third parties without a separate agreement
- Exceed the number of concurrent users permitted by your licence
3.3 Trial Licences
Trial licences are provided for evaluation purposes only. Trial licences:
- Are valid for 14 calendar days from activation
- Include full professional features across all modules
- Require an internet connection for activation
- May not be used for production work or client deliverables
- Are limited to one trial per individual or organisation
4. Intellectual Property
4.1 Ownership
The Software, including all source code, object code, documentation, databases, and associated materials, is the intellectual property of Flite Software Ltd. Your licence does not transfer ownership of any intellectual property rights.
4.2 Your Data
You retain ownership of all models, calculations, and project data you create using the Software. We do not access, collect, or store your project data.
4.3 Website Content
All content on fluidflowinfo.com — including articles, knowledge base materials, technical documentation, and training materials — is the property of Flite Software Ltd. You may reference and link to our content but may not reproduce it without written permission.
5. Support and Updates Membership (SUM)
- SUM provides access to software updates, new features, and technical support from our application engineering team.
- SUM is included with Annual and Quarterly licences.
- SUM is purchased separately for Perpetual licences and renews annually.
- If SUM lapses on a Perpetual licence, the Software continues to function at the last installed version, but you will not receive updates or priority support.
- SUM may be renewed at any time. A reinstatement fee may apply if renewal is more than [VERIFY: 90 days?] overdue.
6. Payment Terms
- All prices are quoted in GBP unless otherwise stated.
- Payment is due within 30 days of invoice unless otherwise agreed in writing.
- Prices are subject to change. Renewal prices will be communicated at least 30 days before the renewal date.
- All fees are non-refundable once the licence has been activated, except where required by law.
- We reserve the right to suspend access to the Software if payment is overdue by more than 60 days.
7. Training Services
- Free training courses are provided as-is for educational purposes.
- Paid training courses are non-refundable once access has been granted, unless the course is materially different from its description.
- Certificates of completion are issued upon meeting the course requirements. Certificates confirm course completion only and do not constitute professional accreditation.
- Training content may be updated from time to time. We will endeavour to keep materials current with the latest software version.
8. Disclaimer of Warranties
The Software is provided “as is” and “as available.” While we take every reasonable step to ensure calculation accuracy:
- We do not warrant that the Software will be error-free or uninterrupted.
- We do not warrant that calculation results will be suitable for any specific application without independent verification by a qualified engineer.
- The user is responsible for verifying all design results before implementation.
- Quality Assurance test models are provided to assist with verification but do not replace professional engineering judgement.
9. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability for any claim arising from the use of the Software or services shall not exceed the amount paid by you for the Software licence in the 12 months preceding the claim.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption.
- We shall not be liable for any damages arising from the use of calculation results in engineering design, construction, or operation of any system.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.
10. Indemnification
You agree to indemnify and hold harmless Flite Software Ltd, its directors, employees, and agents from any claims, damages, losses, or expenses arising from:
- Your use of the Software
- Your violation of these Terms
- Any engineering designs, calculations, or decisions made using the Software
11. Termination
- We may terminate your licence if you breach these Terms and fail to remedy the breach within 30 days of written notice.
- Upon termination, you must cease using the Software and destroy all copies.
- Sections 4, 8, 9, 10, and 13 survive termination.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or our website. Continued use of the Software or services after changes constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by the laws of Northern Ireland, United Kingdom. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Northern Ireland.
